1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Bravado Capital Inc., doing business as CloneMySite.ai("Company," "we," "us," or "our"), governing your access to and use of the CloneMySite.ai website and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

3. Description of Service

CloneMySite provides website cloning, migration, and development services, including but not limited to transforming WordPress websites into modern Next.js websites. The Service includes website scanning, design replication, development, deployment, and ongoing hosting as described in our service packages.

4. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms. By using the Service, you represent and warrant that you meet these requirements and that you have the right to authorize the cloning or migration of any website you submit to us.

5. Orders and Payment

  • All prices are listed in US Dollars (USD) unless otherwise stated.
  • Payment is due at the time of order unless a custom payment arrangement has been agreed upon in writing.
  • We accept payment via credit card, debit card, and other methods as indicated at checkout.
  • All fees are non-refundable except as expressly set forth in our Refund Policy (Section 6).
  • We reserve the right to change pricing at any time. Price changes will not affect orders already placed.

6. Refund Policy

If we are unable to deliver the agreed-upon service within the stated timeframe, or if the delivered website materially fails to meet the specifications outlined in your order, you may request a refund within 14 days of delivery. Refund requests must be submitted in writing to hello@bravadodigital.com. Refunds are issued at our reasonable discretion and may be prorated based on work completed.

7. Client Responsibilities

  • You must provide accurate and complete information necessary for us to perform the Service.
  • You represent that you own or have the legal right to use all content, designs, trademarks, and other materials on any website you submit to us for cloning or migration.
  • You are responsible for ensuring that the use of our Service does not violate any third-party rights, including intellectual property rights.
  • You agree to provide timely feedback and approvals as requested during the project.

8. Intellectual Property

Upon full payment, you retain ownership of your original content and design elements. We retain ownership of our proprietary tools, processes, templates, and any code frameworks used to deliver the Service. You are granted a non-exclusive, perpetual license to use the delivered website for your business purposes.

9. Acceptable Use

You agree not to use the Service to:

  • Clone or replicate websites you do not own or have authorization to reproduce.
  • Create websites that contain illegal, harmful, threatening, abusive, or otherwise objectionable content.
  • Infringe on any third party's intellectual property, privacy, or other rights.
  • Distribute malware, spam, or engage in phishing or other fraudulent activities.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Bravado Capital Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service, regardless of the theory of liability.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us for the specific service giving rise to the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bravado Capital Inc. and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination shall survive, including but not limited to intellectual property, limitation of liability, indemnification, and governing law.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Calgary, Alberta, Canada.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
